BGH: Keine Mehrvergütung ohne Änderung der Ausführungsfristen nach verzögertem Vergabeverfahren

BGH, Urteil vom 10. September 2009 – VII ZR 82/08 – Im Anschluss an seine Entscheidung vom 11. Mai 2009 (VII ZR 11/08; vgl. PM 104/09 vom 11. Mai 2009) hatte der unter anderem für das private Baurecht zuständige VII. Zivilsenat des Bundesgerichtshof erneut über die Frage von Mehrvergütungen infolge eines verzögerten Zuschlags im öffentlichen Vergabeverfahren zu entscheiden.
Allerdings war es im jetzt zu entscheidenden Fall durch das Nachprüfungsverfahren eines Mitbieters nicht zu einer Verschiebung der Ausführungsfristen, sondern nur zu einer Verschiebung des vorgesehenen Zuschlagtermins gekommen. Der Bieter, der nach Zustimmung zur Verlängerung seiner Bindefrist den Zuschlag erhalten hatte, hat seinen Mehrvergütungsanspruch darauf gestützt, dass sich in der Zeit zwischen dem ursprünglich in Aussicht genommenen Zuschlagstermin und dem tatsächlich erteilten Zuschlag seine Preiskalkulationen dadurch geändert hatten, dass sein Energielieferant nunmehr höhere Preise fordere.
In einer solchen Fallkonstellation hat der Bundesgerichtshof einen Anspruch des Bieters auf Mehrvergütung verneint. Führe die Verschiebung des Zuschlags nicht zu einer Änderung der vertraglichen Ausführungsfristen, müsse der durch Zuschlag zustande gekommene Vertrag nicht angepasst werden. Eine Regelungslücke bestehe nicht, der in der Ausschreibung vorgesehene, ursprüngliche Zuschlagstermin werde nicht Vertragsbestandteil.
Eine Preisanpassung komme auch nicht nach den Grundsätzen des Wegfalls oder der Änderung der Geschäftsgrundlage (§ 313 BGB) in Betracht. Die auf dem ursprünglich preiswerten Angebot des Stromlieferanten beruhende Kalkulation des Bieters werde selbst dann nicht Geschäftgrundlage des Vertrages, wenn der Bieter den Auftraggeber darüber informiere, dass er Mehrkosten infolge der Verschiebung des Zuschlags haben könne, gleichwohl aber der Verlängerung der Bindung an sein ursprüngliches Preisangebot zustimme. Mit der Verlängerung der Bindefrist für sein Angebot übernehme er die Verantwortung dafür, dass er seinen Preis weiter unverändert anbiete. An diesem Preis müsse er sich zum Schutz des Wettbewerbs festhalten lassen. Könne er den Preis nicht mehr halten, dürfe er der Verlängerung der Bindefrist nicht zustimmen und müsse aus dem Vergabeverfahren ausscheiden.
